Terms of Sales (B2B)

1. Scope

These Terms of Sales govern the B2B (Business-to-Business) commercial relationship between ENSIFERA ("WhyEva", "we", "us") and professional clients ("Client", "Recruiter") purchasing services on www.whyeva.com. These terms apply to all global purchases.

2. Pricing and "Pay-As-You-Go" Model

WhyEva operates on a flexible, no-monthly-subscription model. Clients pay per active vacancy or purchase credits in bulk.

• Prices are displayed on the Website in the applicable currency (e.g., EUR, USD).
• Taxes: All prices are exclusive of Value Added Tax (VAT) and any other applicable local sales taxes. Taxes will be calculated and added at checkout depending on the Client's billing country and tax registration status (e.g., Reverse Charge mechanism for cross-border EU B2B transactions).

3. Activation and Delivery of Service

Services (job posting credits or packages) are delivered and activated immediately upon confirmation of successful payment.

4. No Right of Withdrawal

Because our services are exclusively provided to businesses and professionals for commercial use (B2B), and the service is fully activated upon payment, the consumer right of withdrawal does not apply. All sales are final. No refunds will be issued for unused job postings or credits.

5. Service Availability and Liability

WhyEva provides the Platform "as is" and commits to a best-efforts obligation (obligation de moyens) to ensure platform uptime and performance. We do not guarantee that the Client will successfully hire a candidate using the Platform. Our liability for any claim related to the purchase is strictly limited to the amount paid by the Client for the specific service in question.

6. Governing Law

These Terms of Sales are governed by the laws of France. Any commercial disputes shall be submitted exclusively to the Commercial Court of Metz, France.
